Thyssenkrupp shareholders approve TK Accelis spin-off and Frankfurt listing

Shareholders of THYSSENKRUPP AG have approved the planned spin-off of TK ACCELIS, paving the way for the creation of an independent, publicly listed materials distribution and supply chain services company.

At an Extraordinary General Meeting on 7 August, shareholders backed the transaction under which 49% of the future TK ACCELIS GROUP AG & CO. KGAA will be transferred directly to THYSSENKRUPP shareholders. THYSSENKRUPP will retain a 51% majority stake and therefore remain the company's strategic anchor.

Shareholders are set to receive one TK ACCELIS share for every 20 THYSSENKRUPP shares. A listing in the Prime Standard of the Frankfurt Stock Exchange is planned before the end of 2026.

From materials distribution to supply chain services

TK ACCELIS plans to develop its business around a "materials as a service" strategy, combining materials distribution and processing with logistics, supply chain management and digital services. The objective is to expand higher-margin activities while reducing exposure to fluctuations in material prices.

The company employs around 15,500 people and operates approximately 400 locations in more than 30 countries. Its network serves around 250,000 customers and works with approximately 11,000 significant suppliers. According to THYSSENKRUPP, TK ACCELIS is the largest manufacturer-independent materials distributor and supply chain services provider by sales in Germany and Europe and ranks third in North America.

In fiscal year 2024/25, the business generated sales of €11.4 billion and adjusted EBIT of €132 million. Performance improved significantly in the second quarter of 2025/26, with sales rising 5% year-on-year to €3.2 billion and adjusted EBIT increasing 179% to €81 million.

Spin-off advances ACES 2030 strategy

THYSSENKRUPP sees the transaction as another major step in its ACES 2030 strategy, under which the industrial group is being transformed into a financial holding company overseeing independently managed businesses.

"tk accelis is ready for the capital market. The company has a strong market position, a proven business model and a clear strategic focus," THYSSENKRUPP CEO Miguel López said.

The independent company is expected to benefit from growing demand for more resilient and regional supply chains as well as digital supply chain solutions. THYSSENKRUPP also sees growth opportunities in aerospace and defence, data centres, industrial electrification and European infrastructure investment.

The Group's restructuring will continue with a Capital Markets Day for THYSSENKRUPP STEEL EUROPE scheduled for late September, when the company plans to provide investors with an update on the steel division's performance and ongoing realignment.
